Terms of Service

1. Acceptance of Terms

By accessing or using the EverOpt website at get-everopt.com and the EverOpt platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

EverOpt is a conversational web analytics and optimization platform that allows users to query their web analytics data using natural language, perform exploratory analysis, compare analytics properties, generate optimization hypotheses, create A/B experiments, and manage tag configurations. The Service may also send you email notifications containing analytics insights and suggested questions based on data from your connected analytics properties. The Service integrates with third-party analytics platforms (including Google Analytics, PostHog, and Convert.com), tag management platforms (Google Tag Manager), and AI language model providers (currently Anthropic) to process natural language queries. When connected to Google Tag Manager, the Service can read, create, update, and publish tags, triggers, and variables in your GTM containers at your direction.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials and not share them with third parties
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload, transmit, or distribute any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to develop a competing product or service
  • Resell, sublicense, or provide the Service to third parties without our written consent
  • Use automated tools to scrape, crawl, or extract data from the Service beyond what is permitted by our API

5. Your Data

5.1 Ownership

You retain all rights to the data you provide to or connect with the Service ("Your Data"), including your Google Analytics data. We do not claim ownership of Your Data.

5.2 License

You grant us a limited, non-exclusive license to access, process, and display Your Data solely to provide and improve the Service. This includes sending Your Data to third-party AI providers (currently Anthropic) for natural language processing as part of the Service's core functionality. This license terminates when you delete your account or disconnect your data sources.

5.3 Data Security

We implement commercially reasonable security measures to protect Your Data. However, no system is completely secure, and we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials.

6. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by EverOpt and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

7. Third-Party Integrations

The Service integrates with third-party services, including Google Analytics, Google Tag Manager, PostHog, Convert.com, and Anthropic (AI language model provider). Your use of these integrations is subject to the respective third party's terms of service and privacy policy. We are not responsible for the availability, accuracy, or practices of any third-party service.

8. AI-Generated Output

The Service uses third-party AI language models to process your natural language queries and generate analytics insights, recommendations, experiment configurations, and tag management actions. AI-generated output may be inaccurate, incomplete, or misleading. When the Service creates, updates, or publishes Google Tag Manager configurations at your direction, those changes may immediately affect data collection on your live website. You are solely responsible for reviewing, validating, and deciding whether to act on any output provided by the Service, including reviewing tag management changes before they are published.

9. Fees and Payment

Certain features of the Service may require a paid subscription. If you purchase a paid plan:

  • Fees are billed in advance on a monthly or annual basis, as selected at the time of purchase
  • All fees are non-refundable unless otherwise stated or required by law
  • We may change our pricing with at least 30 days' advance notice
  • Failure to pay may result in suspension or termination of your account

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT ANY INSIGHTS, ANALYSES, OR RECOMMENDATIONS PROVIDED BY THE SERVICE WILL BE ACCURATE OR COMPLETE. YOU USE THE SERVICE AND RELY ON ITS OUTPUT AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVEROPT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless EverOpt and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including Sections 5, 6, 11, 12, 13, and 16.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms or the Service shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

17. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and EverOpt regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
